Thank you for using the Talent4Cast.ai platform. These Terms of Service ("Terms") govern the relationship between Tranzform Talent Consultancy Ltd trading as Talent4Cast.ai ("Talent4Cast", "we", "our") and the entity or person ("Customer", "You", "Your") using or accessing our predictive hiring analytics services, applications, or platform through our website available at talent4cast.ai (the "Site"), through any of our applications, or by any other means (together, the "Services").

These Terms explain what rights you have with respect to analytics reports, insights, forecasts, and other materials which you might generate with the Service (the "Analytics"), data you might input into the Service (the "Inputs"), your use of the Services, and other important topics like arbitration. Please carefully read these Terms, along with our privacy policy, and all other documents referenced in these Terms, including the Subscription Plans page and the Acceptable Use Policy below. Together with the Terms, these documents form a single binding agreement between us (the "Agreement").

This Agreement is effective when the Customer is presented with this Agreement and proceeds to use or access the Services (the "Effective Date") or to receive or distribute Analytics. This agreement may be updated and presented again to the Customer from time to time. Continued use of the Services constitutes acceptance of the updated terms. If You do not agree to this Agreement, please stop using or accessing the Services.

1. Service Availability and Quality

We are constantly improving the Services to make them better. The Services are subject to modification and change, including but not limited to the analytical models, algorithms used to generate predictions, forecasting methodologies, and features available to the Customer. No guarantees are made with respect to the Services' quality, stability, uptime or reliability. Please do not create any dependencies on any specific attributes of the Services or the Analytics. We will not be liable to You or Your downstream customers for any harm caused by Your dependency on the Service.

Both the Services and the Analytics are provided to Customer on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. You are solely responsible for determining the appropriateness of using or redistributing the Analytics and assume any risks associated with use of the Services.

Important Note: The Analytics are predictive in nature and should be used as decision-support tools only. Talent4Cast makes no guarantees about the accuracy of predictions, forecasts, or recommendations. All hiring and workforce decisions remain solely your responsibility.

Talent4Cast reserves the right to suspend or ban Your access to the Services at any time, and for any reason. You may not access or use the Services for purposes of developing or offering competitive products or services. You may not reverse engineer the Services or the Analytics. You may not use automated tools to access, interact with, or generate Analytics through the Services beyond those explicitly provided by us. You may not resell or redistribute the Services or access to the Service. Only authorized users within your organization may use the Services per registered account.

You may not use the Service to try to violate the intellectual property rights of others, including copyright, patent, or trademark rights. Doing so may subject you to penalties including legal action or a permanent ban from the Service.

We reserve the right to investigate complaints or reported violations of this Agreement and to take any action we deem appropriate including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to user profiles, e-mail addresses, usage history, materials, IP addresses and traffic information.

2. Age Requirements

By accessing the Services, You confirm that You are at least 18 years old and have the legal authority to enter into this Agreement on behalf of yourself or your organization. If You are accessing the Services on behalf of an organization, You represent and warrant that You have the authority to bind that organization to these Terms.

The Services are designed for business and professional use in hiring and workforce planning. The Services are not intended for personal or non-commercial use.

3. Your Information

By using the Services, You may provide Talent4Cast with personal and business information including Your email address, user name, billing information, employee data, candidate information, organizational data, hiring criteria, workforce metrics, and other business information that You input into the Service. Data Security: We implement industry-standard security measures to protect your data. However, you acknowledge that no system is completely secure and you use the Services at your own risk.

4. Content Rights

Your Rights and Obligations

You own all Analytics You generate with the Services to the fullest extent possible under applicable law. There are some exceptions:

  • Your ownership is subject to any obligations imposed by this Agreement and the rights of any third-parties.
  • If you process data belonging to third parties (such as candidate or employee data), you must have proper authorization and comply with applicable data protection laws.
  • If you generate Analytics based on shared industry benchmarks or anonymized data sets, the underlying benchmark data remains our property.

Please consult Your own lawyer if You want more information about the state of current intellectual property law in Your jurisdiction. Your ownership of the Analytics you created persists even if in subsequent months You downgrade or cancel Your membership.

Inputs, Analytics, and other content such as messages, documents, data files, and reports that you may provide to the Services (such as through uploading, posting, sharing, or data integration) are collectively, "Content". You are responsible for all Content that you provide or generate, including ensuring that it does not violate any applicable laws or this Agreement, and that you have all necessary rights and permissions to provide the Content.

Data Compliance: You represent and warrant that you have the legal right to process all data you input into our Services, including employee data, candidate data, and any personal information, and that such processing complies with applicable employment laws, data protection regulations, and privacy requirements.

Rights You give to Talent4Cast

By using the Services, You grant to Talent4Cast, its affiliates, successors, and assigns a limited, worldwide, non-exclusive, sublicensable no-charge, royalty-free license to use, process, and analyze the Content You input into the Services solely for the purpose of providing the Services to You and improving our platform capabilities. This includes the right to create anonymized, aggregated datasets for benchmarking and service improvement purposes. This license survives termination of this Agreement by any party, for any reason.

Data Anonymization: We may use anonymized and aggregated data derived from your use of the Services to improve our algorithms, create industry benchmarks, and enhance our service offerings. Such anonymized data will not identify you or your organization.

Confidentiality and Data Sharing

Talent4Cast maintains strict confidentiality regarding your business data and Analytics. We do not share, sell, or distribute your specific organizational data or Analytics to third parties except as required by law or as necessary to provide the Services (such as cloud hosting providers operating under strict confidentiality obligations).

5. DMCA and Takedowns Policy

Notification Procedures

We respect the intellectual property rights of others. If you believe that material located on or linked to by the Services violates your copyright or trademark, please send a notice of claimed infringement by email to legal@talent4cast.ai with the subject "Takedown Request", and include the following:

  1. Your physical or electronic signature.
  2. Identification of the copyrighted work (or mark) you believe to have been infringed or, if the claim involves multiple works, a representative list of such works.
  3. Identification of the material you believe to be infringing in a sufficiently precise and detailed manner to allow us to locate that material.
  4. Adequate information by which we can contact you (including your name, postal address, telephone number, and, if available, email address).
  5. A statement that you have a good faith belief that use of the copyrighted material is not authorized by the copyright owner, its agent, or the law.
  6. A statement that the information in the written notice is accurate.
  7. A statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
  8. If the copyright owner's rights arise under the laws of a country other than the United Kingdom, please identify the country.

You may also send notices containing the above-required information to our registered office address.

Upon receipt of a notice that complies with the foregoing, we reserve the right to remove or disable access to the accused material or disable any links to the material; notify the party accused of infringement that we have removed or disabled access to the identified material; and terminate access to and use of the Services for any user who engages in repeated acts of infringement.

6. Dispute Resolution and Governing Law

In the event a dispute, controversy, or claim arises out of or relating to these Terms ("Dispute"), the parties will first try in good faith to settle any Dispute within 30 days after the Dispute arises. If the Dispute is not resolved within 30 days, it shall be resolved in accordance with English law and the jurisdiction of the English courts.

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts of England and Wales, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

7. Service Levels and Access Limitations

We will make commercially reasonable efforts to provide reliable access to the Services. However, we reserve the right to implement reasonable usage limits, rate limiting, or temporary service restrictions to ensure optimal performance for all customers and to prevent abuse of the Services.

If You purchase an unlimited plan, we will try to reasonably offer You unlimited access to the Services. However, we reserve the right to implement fair usage policies to prevent service degradation or interruptions to other customers.

8. Payment and Billing

We may invoice You for Your use of the Services through a third party payment service provider. The third party service provider's terms of service shall govern and supersede this Agreement in case of conflict, solely with respect to payment processing.

You are free to cancel Your plan at any time with appropriate notice as specified in your subscription agreement. We reserve the right to modify or discontinue any aspect of the Service, including pricing and features, at any time with reasonable notice. We also reserve the right to terminate Your access to the Service for any reason, including for violation of the Acceptable Use Policy or other inappropriate use of the Service. Any violation of the Acceptable Use Policy is a breach of this Agreement.

Refunds will be handled in accordance with our refund policy available on our website. Additional information and policies regarding our subscription plans, including details on billing, taxes, refunds, and authorization, can be found on our website.

9. Acceptable Use Policy

  1. Professional Use Only: Use the Services only for legitimate business purposes related to hiring, workforce planning, and talent analytics.
  2. Data Accuracy: Provide accurate and up-to-date information. Do not input false, misleading, or fabricated data.
  3. Legal Compliance: Ensure all use complies with applicable employment laws, data protection regulations, anti-discrimination laws, and privacy requirements in your jurisdiction.
  4. Respect Privacy: Do not input personally identifiable information beyond what is necessary for the Services and ensure you have proper authorization for all data processing.
  5. No Discrimination: Do not use the Services to facilitate discriminatory hiring practices or to circumvent equal employment opportunity requirements.
  6. Security: Maintain the confidentiality of your account credentials and promptly notify us of any unauthorized access.
  7. No Interference: Do not attempt to interfere with, disrupt, or reverse engineer the Services or our systems.
  8. Appropriate Use: Do not use the Services for any illegal activity or in any way that could harm, disable, overburden, or impair our Services.
  9. Data Retention: Follow applicable data retention requirements and delete personal data when no longer needed for legitimate business purposes.
  10. Compliance Monitoring: We reserve the right to monitor usage for compliance with these policies. Any violations may lead to immediate suspension or termination of your access to the Services.

10. Limitation of Liability and Indemnity

We provide the service as is, and we make no promises or guarantees about the accuracy of predictions, forecasts, or analytics generated by the Services.

HIRING DECISIONS: YOU ACKNOWLEDGE THAT ALL HIRING AND EMPLOYMENT DECISIONS REMAIN SOLELY YOUR RESPONSIBILITY. TALENT4CAST PROVIDES DECISION-SUPPORT TOOLS ONLY AND MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF ANY CANDIDATE OR THE ACCURACY OF ANY PREDICTION.

You understand and agree that we will not be liable to You or any third party for any loss of profits, use, goodwill, or data, or for any incidental, indirect, special, consequential or exemplary damages, however they arise, including but not limited to damages arising from hiring decisions, employment actions, or workforce planning based on our Analytics. Our aggregate liability under this Agreement will not exceed the amount You paid for the Services that gave rise to the claim during the 12 months before the claim.

You are responsible for Your use of the service. If You harm someone else or get into a dispute with someone else related to your use of our Services, we will not be involved.

To the extent permitted by law, you will indemnify and hold us harmless, our affiliates, and our personnel, from and against any costs, losses, liabilities, and expenses (including attorneys' fees) from third party claims arising out of or relating to your use of the Services and Analytics, any hiring or employment decisions made using our Services, or any violation of these Terms.

You and Talent4Cast agree that any cause of action arising out of or related to the Services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

11. Data Processing and Analytics Tools

Talent4Cast's various analytics tools, forecasting models, and reporting features ("Analytics Tools") are provided as part of the Services and are subject to the terms and conditions outlined in this Agreement. By accessing and using Analytics Tools, you agree to comply with the conditions set forth in this section.

Access and Restrictions

Subject to your compliance with this Agreement, Talent4Cast grants you the right to access and use Analytics Tools for your internal business purposes only. In using these tools, you shall not violate any applicable laws, this Agreement, or any other Talent4Cast policies that are made available to you.

Data Processing

You are responsible for ensuring that all data you input into Analytics Tools is accurate, lawfully obtained, and that you have the necessary rights and permissions to process such data. You represent and warrant that you have obtained all necessary consents and authorizations for the processing of personal data through our Services.

12. Miscellaneous

  1. Force Majeure. Neither party will be liable for failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, terrorism, riots, or war.
  2. No Agency. This Agreement does not create any agency, partnership, or joint venture between the parties.
  3. Severability. If any part of this Agreement is invalid, illegal, or unenforceable, the rest of the Agreement will remain in effect.
  4. No Third-Party Beneficiaries. This Agreement does not confer any benefits on any third party unless it expressly states that it does.
  5. Survival. The sections and obligations in this Agreement that a reasonable person would expect to survive this agreement, will. Particularly the IP, privacy, data protection, and confidentiality provisions.
  6. Governing Law. This Agreement shall be governed by the laws of England and Wales, without reference to conflict of law rules.
  7. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings and agreements, whether written or oral, relating to the subject matter hereof.
  8. Assignment. You may not assign this Agreement without our prior written consent. We may assign this Agreement to any affiliate or in connection with a merger, acquisition, or sale of assets.
